Terms of Service

Welcome to PloyD! These Terms of Service ("Terms") constitute a binding legal agreement between you ("Customer", "You", or "Your") and PloyD ("Company", "We", "Our", or "Us") regarding your use of our AI infrastructure platform, model serving, RAG systems, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account and using PloyD Services, you represent and warrant that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You have the legal capacity and authority to enter into this agreement
• If you are acting on behalf of a company or organization, you have the authority to bind that entity to these Terms
• Your use of the Services complies with all applicable laws and regulations

2. Description of Services

PloyD provides AI infrastructure services including but not limited to:

• AI model serving and deployment
• RAG (Retrieval-Augmented Generation) system development
• AI infrastructure scaling and optimization
• Technical consulting and support
• API access and integration tools

3. User Accounts and Registration

3.1 Account Creation

To access certain Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, offensive, or illegal content
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any systems or data
• Use the Services for any unlawful or prohibited purpose
• Reverse engineer, decompile, or disassemble any part of the Services
• Remove or modify any proprietary notices or labels

5. Intellectual Property Rights

5.1 PloyD's Rights

The Services, including all software, content, trademarks, and other intellectual property, are owned by PloyD and protected by copyright, trademark, and other intellectual property laws.

5.2 Customer Data

You retain ownership of any data, content, or materials you provide to the Services ("Customer Data"). You grant us a limited license to use Customer Data solely to provide the Services to you.

5.3 Feedback

Any feedback, suggestions, or improvements you provide regarding the Services may be used by us without any obligation to you.

6. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Payment Terms

7.1 Fees

Fees for Services are as described on our pricing page or as otherwise agreed upon. All fees are non-refundable unless otherwise specified.

7.2 Payment

Payment is due according to the billing terms specified for your account. We may suspend Services for non-payment after reasonable notice.

7.3 Taxes

You are responsible for all applicable taxes related to your use of the Services.

8. Service Level and Availability

While we strive to provide reliable Services, we do not guarantee uninterrupted availability. We may perform maintenance that temporarily affects Service availability, and we will provide reasonable notice when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION

10. Indemnification

You agree to indemnify and hold harmless PloyD from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using account settings if available.

11.2 Termination by Us

We may terminate or suspend your access immediately for violation of these Terms or for any other reason.

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your data according to our data retention policies.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Continued use of the Services after changes constitutes acceptance of the new Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

These Terms constitute the entire agreement between you and PloyD regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
